Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you (or the organization you represent) and AIRLIVNG LLC ("Foxwise", "we", "us"), the operator of the Foxwise service. By creating an account, accessing the site, or otherwise using the service, you confirm that you have read these Terms and agree to be bound by them.

If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the service.

Foxwise is a hosted software platform that lets you upload documents and other files, connect third-party sources, and query that material through a conversational AI interface. Features, limits, and integrations may change as the product evolves.

We may add, modify, suspend, or discontinue any part of the service. Where a change materially reduces functionality on a paid plan, we will make reasonable efforts to notify you in advance.

You must be at least 18 years old and legally able to enter into a contract. You agree to provide accurate registration information and to keep it current.

You are responsible for safeguarding your credentials and for all activity that occurs under your account, including activity by users you invite to your workspace. Notify us at support@foxwise.io promptly if you suspect unauthorized access.

You retain all ownership of the files, text, and other material you submit to the service ("Your Content"). We claim no ownership over it.

You grant us a limited, non-exclusive, worldwide licence to host, store, copy, transmit, index, and process Your Content solely to operate, secure, and support the service for you. We do not use Your Content to train foundation models.

You represent that you have the rights and permissions necessary to submit Your Content and that doing so does not violate any law, contract, or third-party right.

You agree not to, and not to permit any user to:

• use the service for any unlawful, deceptive, infringing, or harmful purpose;
• upload material you are not authorized to share, including confidential information of third parties;
• attempt to gain unauthorized access to the service, other accounts, or our infrastructure;
• probe, scan, scrape, reverse engineer, or circumvent rate limits, security controls, or usage restrictions;
• resell, sublicence, or provide the service to third parties outside your organization without our written consent;
• interfere with the integrity or performance of the service or the data it contains.

We may suspend or terminate access, with or without notice, for conduct that violates this section or that poses a risk to the service or other customers.

The service uses large language models to generate answers and summaries. Outputs may be incomplete, out of date, or incorrect, and may vary between requests. Outputs are informational only and are not legal, medical, financial, tax, or other professional advice.

You are responsible for reviewing outputs before relying on them or sharing them, particularly in regulated or high-stakes contexts.

The service may connect to third-party applications and storage providers at your direction, and relies on third-party infrastructure and model providers. Your use of a third-party service is governed by that provider's terms. We are not responsible for the availability, accuracy, or practices of third-party services.

Paid plans are billed in advance on the interval shown at checkout and renew automatically until cancelled. Fees are exclusive of taxes, which you are responsible for unless we are required to collect them.

Except where required by law, payments are non-refundable and cancellation takes effect at the end of the current billing period. Beta features and free trials are provided as-is and may be changed or withdrawn at any time.

The service, including its software, models integration layer, design, documentation, and the Foxwise name and logos, is owned by AIRLIVNG LLC and its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable right to access and use the service in accordance with these Terms. All rights not expressly granted are reserved. Feedback you send us may be used without restriction or compensation.

We apply administrative, technical, and organizational safeguards designed to protect Your Content, including encryption in transit and at rest and access controls scoped to your workspace. No system is completely secure, and we cannot guarantee that unauthorized access will never occur. Our handling of personal data is described in our Privacy Policy.

These Terms apply for as long as you use the service. You may stop using the service and close your account at any time.

We may suspend or terminate your access for material breach, non-payment, suspected fraud or abuse, or where required by law. On termination, your right to use the service ends immediately and we may delete Your Content after a reasonable retention window. Export your data before closing your account.

The service is provided "as is" and "as available". To the maximum extent permitted by law, AIRLIVNG LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the service will be uninterrupted, error-free, or that outputs will be accurate.

To the maximum extent permitted by law, AIRLIVNG LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to the service, even if advised of the possibility. Our total aggregate liability for all claims relating to the service will not exceed the greater of (a) the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars.

You agree to defend, indemnify, and hold harmless AIRLIVNG LLC and its officers, employees, and agents from any claims, damages, liabilities, and reasonable legal fees arising from Your Content, your use of the service, or your breach of these Terms or applicable law.

We may update these Terms from time to time. If a change is material, we will provide reasonable notice, for example by email or an in-product notice. Continued use of the service after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Louisiana, USA, without regard to its conflict of law principles. The state and federal courts located in Louisiana will have exclusive jurisdiction over any dispute, and both parties consent to that jurisdiction and venue.

These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between you and AIRLIVNG LLC. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
